Terms of Service

Terms governing access to and use of the SepticTrack platform and services.

These Terms of Service govern your access to and use of the SepticTrack software platform, websites, applications, portals and related services. By subscribing to, accessing or using SepticTrack, you agree to these Terms of Service.

1. Definitions

“You”, “Your”, “Customer”, “Subscriber” or “User” means an organisation or individual that subscribes to, accesses or uses the SepticTrack Service, including authorised employees, contractors, technicians and other users operating under a Customer account.

“Service” or “Services” means the SepticTrack software platform, websites, applications, portals and related products and services provided by us.

“SepticTrack”, “We”, “Us” or “Our” means Septic Track Pty Ltd ABN 79 617 835 364.

“Customer Data” means information entered, uploaded, generated, transmitted, stored or otherwise processed through the Service by or on behalf of a Customer.

“Authorised User” means a person authorised by a Customer to access or use the Service.

“Agreement” means these Terms of Service together with our Privacy Policy and any other terms, service agreements or policies expressly applicable to the Service.

2. Acceptance of Terms

You should read these Terms of Service carefully before using SepticTrack. If you do not agree to these Terms, you must not access or use the Service.

By subscribing to, accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by this Agreement.

If you are using the Service on behalf of a business, council, authority or other organisation, you represent that you have authority to accept these Terms on behalf of that organisation.

3. The SepticTrack Service

SepticTrack provides software and related services designed to assist organisations with the management of wastewater servicing, properties, systems, technicians, service records, reporting, compliance information and related operational activities.

Features available to a Customer may vary depending on the Customer's subscription, organisation type, configuration and any additional services agreed with SepticTrack.

We may improve, modify, replace or update features of the Service from time to time as part of the ongoing development and operation of SepticTrack.

4. Customer Accounts and Authorised Users

Customers are responsible for ensuring that only Authorised Users access their SepticTrack account.

Customers are responsible for the activities performed through their account and for managing the access rights of their employees, technicians, contractors and other users.

Each User must keep their login credentials confidential and must not provide their account credentials to an unauthorised person.

Customers must promptly remove or disable access for Users who are no longer authorised to access their organisation's information.

5. Acceptable Use

You must not use the Service to:

  • Break any applicable law or regulation;
  • Access information that you are not authorised to access;
  • Attempt to gain unauthorised access to another Customer's account or data;
  • Interfere with the operation, security or integrity of the Service;
  • Introduce malicious software, viruses or harmful code;
  • Attempt to circumvent authentication, permissions or security controls;
  • Use automated processes in a manner that places unreasonable load on the Service;
  • Copy, reverse engineer or attempt to derive the source code of the Service except where permitted by law; or
  • Use the Service for any unlawful, fraudulent or malicious purpose.

We may restrict or suspend access where we reasonably believe an account is being used in breach of these Terms or presents a security risk to SepticTrack, another Customer or the Service.

6. Customer Data

Customers retain ownership of Customer Data entered into or generated through their use of SepticTrack, subject to any rights held by other persons or organisations in that information.

The Customer grants SepticTrack the right to process, store, transmit, back up and otherwise use Customer Data to the extent reasonably necessary to provide, secure, maintain and support the Service.

Customers are responsible for ensuring they have the appropriate authority or lawful basis to collect, enter, upload, use and disclose Customer Data through SepticTrack.

This includes information relating to property owners, occupiers, wastewater systems, servicing activities, technicians and other individuals whose information may be recorded within the Service.

7. Service Records and Reports

SepticTrack may generate service records, reports, notifications, maintenance information and other documentation based on information entered into the Service by Customers and their Authorised Users.

Customers are responsible for reviewing information entered into the Service and ensuring that service records, reports and other information are accurate and complete before relying upon or distributing them.

SepticTrack provides the software platform used to record and process this information but does not independently verify every service record, inspection, property record or report submitted by Users.

8. Councils, Water Authorities and Regulatory Access

Certain SepticTrack Services may allow wastewater servicing, property, inspection or compliance information to be made available to councils, local government authorities, water authorities or other authorised regulatory bodies.

Access may be provided where authorised by the relevant Customer, contractual arrangement, regulatory requirement or applicable law.

Access may be restricted according to organisation, property, geographic area, council area, user role or other permissions configured within SepticTrack.

9. Subscription Fees and Billing

Customers must pay the subscription, usage, transaction or other fees applicable to the Services they have ordered.

Fees may be charged monthly, annually, per transaction, per service, per property or using another pricing structure agreed between SepticTrack and the Customer.

Unless otherwise stated, prices are exclusive of GST. GST will be added where required by Australian law.

Invoices must be paid by the due date stated on the invoice or according to any alternative payment terms agreed in writing with SepticTrack.

10. Changes to Fees

SepticTrack may change its fees from time to time.

Where a fee change affects an existing Customer's ongoing subscription, we will provide reasonable notice before the new pricing takes effect, unless the change results from a new or separately requested Service.

Continued use of the affected Service after the new pricing takes effect constitutes acceptance of the revised pricing.

11. Failure to Pay

Where an invoice remains unpaid after its due date, SepticTrack may contact the Customer and request payment of the outstanding amount.

We may suspend access to some or all Services where an account remains overdue after reasonable notice has been provided.

Suspension or termination of the Service does not remove the Customer's obligation to pay fees properly incurred before the suspension or termination date.

12. Service Availability

SepticTrack aims to provide a reliable and continuously available Service. However, no internet-based software service can guarantee uninterrupted availability.

The Service may occasionally be unavailable due to scheduled maintenance, emergency maintenance, software updates, infrastructure failures, telecommunications failures, security incidents or circumstances beyond our reasonable control.

Where reasonably practicable, we will endeavour to minimise disruption and restore affected Services as quickly as possible.

13. Security

SepticTrack takes reasonable technical and organisational measures to protect the Service and Customer Data from unauthorised access, disclosure, alteration, loss, misuse or destruction.

Customers and Users must also take reasonable steps to protect their accounts, including maintaining secure passwords and protecting authentication credentials.

Where multi-factor or two-factor authentication is available or required, Users must comply with the applicable authentication requirements.

Customers must notify SepticTrack promptly if they become aware of suspected unauthorised access, compromised credentials or another security incident affecting their account.

14. Backups and Data Protection

SepticTrack may maintain backups and other data protection systems as part of operating the Service.

While reasonable measures are taken to protect Customer Data, no electronic storage or backup system can guarantee against every form of data loss or corruption.

Customers should maintain copies of business-critical information where reasonably appropriate to their operations and regulatory obligations.

15. Third-Party Services

SepticTrack may integrate with or rely upon third-party platforms, infrastructure providers, payment services, communication services or other technology providers.

We are not responsible for interruptions or failures caused solely by third-party services that are outside our reasonable control.

Use of an integrated third-party service may also be subject to the terms and privacy policies of that provider.

16. Intellectual Property

SepticTrack and its associated software, systems, designs, interfaces, databases, documentation, branding and other intellectual property are owned by or licensed to Septic Track Pty Ltd.

Subject to payment of applicable fees and compliance with these Terms, Customers receive a limited, non-exclusive and non-transferable right to access and use the Service for their legitimate business operations during the subscription period.

No ownership of the SepticTrack software or intellectual property is transferred to the Customer.

17. Confidentiality

Each party must take reasonable steps to protect confidential information received from the other party and must not disclose that information except where necessary to perform obligations under this Agreement, where authorised by the other party, or where required by law.

This obligation does not apply to information that is publicly available other than through a breach of confidentiality, was already lawfully known to the receiving party, or is independently developed without reference to the confidential information.

18. Privacy

Our collection, handling and protection of personal information is governed by our Privacy Policy.

Customers are responsible for ensuring their own collection and use of personal information through SepticTrack complies with applicable privacy and data protection requirements.

19. Suspension

We may temporarily suspend access to some or all of the Service where reasonably necessary because:

  • The Customer has materially breached these Terms;
  • Fees remain unpaid after reasonable notice;
  • We reasonably suspect unauthorised or fraudulent activity;
  • An account presents a security risk;
  • Use of the Service is affecting the operation or security of SepticTrack;
  • We are required to do so by law or a lawful authority; or
  • Suspension is reasonably necessary to protect Customers, Users or Customer Data.

Where reasonably practicable, we will notify the Customer of the reason for suspension and the steps required to restore access.

20. Termination

A Customer may terminate its Service in accordance with the cancellation terms applicable to its subscription or other written agreement with SepticTrack.

SepticTrack may terminate a Service where the Customer materially breaches this Agreement and fails to remedy that breach within a reasonable period after receiving notice.

We may terminate or immediately restrict a Service where required by law or where continued operation presents a serious security, legal or operational risk.

21. Data Following Termination

Following termination of a Service, the Customer should arrange to export or obtain any Customer Data it reasonably requires before access to the Service ends.

SepticTrack may retain Customer Data for a limited period following termination for backup, recovery, legal, regulatory or administrative purposes before it is deleted or anonymised in accordance with our data-retention processes.

Some records may be retained for longer periods where required by law, regulation, contractual obligations or legitimate record-keeping requirements.

22. Limitation of Liability

To the maximum extent permitted by law, SepticTrack is not liable for indirect, incidental, special or consequential loss arising from the use of or inability to use the Service, including loss of profits, revenue, business opportunity or anticipated savings.

SepticTrack is not responsible for loss arising from inaccurate, incomplete or incorrect information entered into the Service by a Customer, User or third party.

To the maximum extent permitted by law, SepticTrack's aggregate liability arising from the affected Service will be limited to the fees paid by the Customer for that Service during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.

23. Indemnity

To the extent permitted by law, the Customer indemnifies SepticTrack against claims, losses, liabilities and reasonable costs arising from the Customer's unlawful use of the Service, breach of these Terms, unauthorised use of Customer Data, or infringement of another person's rights.

This indemnity does not apply to the extent that SepticTrack caused or contributed to the relevant loss or damage.

24. Australian Consumer Law

Nothing in this Agreement is intended to exclude, restrict or modify rights or remedies available under the Australian Consumer Law or other legislation that cannot lawfully be excluded, restricted or modified.

Where our liability for a failure to comply with a statutory guarantee can lawfully be limited, our liability may be limited, at our option, to supplying the relevant Service again or paying the reasonable cost of having the Service supplied again.

25. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, our business practices, pricing, technology or legal requirements.

Where a change materially affects an existing Customer's rights or obligations, we will provide reasonable notice where practicable.

The current version of these Terms will be published on the SepticTrack website with the date of the latest update.

26. Severability

If any provision of this Agreement is found to be invalid, unlawful or unenforceable, that provision will be severed to the extent necessary and the remaining provisions will continue in full force and effect.

27. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Victoria and the Commonwealth of Australia.

The parties submit to the jurisdiction of the courts of Victoria and any courts having jurisdiction to hear appeals from those courts.

28. Dispute Resolution

If a dispute arises in connection with the Service or this Agreement, the parties should first attempt to resolve the dispute in good faith.

The party raising the dispute should provide sufficient details of the issue to allow the other party to investigate and respond.

Nothing in this section prevents either party from seeking urgent injunctive or other urgent legal relief where necessary.
